This agreement summarises the existing ClubSys End User License Agreement in a readable format. It should be reviewed and approved by legal counsel before production use.
Agreement and licence
This is a licence agreement, not a sale of the ClubSys application. By using ClubSys, an individual user or the organisation they represent accepts these terms. Subject to compliance with this agreement, ClubSys grants a limited, revocable, non-transferable right to use the application for the customer’s own operations.
Ownership and data
ClubSys and its licensors retain ownership of the application, its code, documentation, designs and related intellectual property. Customers retain ownership of their uploaded member and operational data, subject to their payment obligations and the applicable service agreement. ClubSys may use its own product, service and aggregated operational data as permitted by law and contract.
Restrictions
You may not copy, modify, distribute, decompile, disassemble, reverse engineer or create derivative works from the application except where applicable law expressly permits it. You may not use ClubSys in a way that infringes another party’s rights or compromises the service.
Fees and access
ClubSys is offered as a software-as-a-service subscription. Fees, taxes and billing arrangements are set out in the relevant order form or agreement. ClubSys may change pricing with notice and may suspend access when payments are outstanding.
Service availability and updates
ClubSys may maintain, modify, update or discontinue parts of the application or service. Updates are governed by this agreement unless they are provided with a separate agreement. Support and maintenance are provided according to the applicable support arrangement.
Accounts and security
Users must keep usernames and passwords secure, provide accurate registration details and notify ClubSys promptly if they suspect unauthorised account use. Customers should keep appropriate backups and security controls for their own systems and data.
Disclaimers and limitation of liability
To the maximum extent permitted by applicable law, ClubSys is supplied on an “as is” and “as available” basis. ClubSys does not guarantee uninterrupted or error-free service. Sitemap Computers WLL and its affiliates are not liable for indirect, special, incidental or consequential loss arising from use of, or inability to use, the application.
Indemnity and termination
You agree to protect ClubSys and its affiliates against claims arising from your breach of this agreement, unlawful use of the application or infringement of third-party rights. The licence ends automatically if you breach these terms. On termination, you must stop using the application, subject to any data and transition provisions in the relevant commercial agreement.
General terms
If one part of this agreement is unenforceable, the rest remains effective. A failure to enforce a right is not a waiver of that right. This agreement, together with the applicable order form and any referenced policies, represents the agreement relating to the ClubSys application.
